Cortex Lantern Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Cortex Lantern mobile app and website (the "Services"). By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. Who we are

Cortex Lantern is operated by The UGC Playbook LTD, 3rd Floor, 86-90 Paul Street, London, England, United Kingdom, EC2A 4NE ("Cortex Lantern", "we", "us", or "our"). These Terms of Use ("Terms") govern your use of the Cortex Lantern mobile application and related websites and services (collectively, the "Services").

2. Eligibility

You may use the Services only if:

• You are at least 13 years old (or the minimum age in your country to use such services), and
• You have the legal capacity to enter into a binding agreement under the laws of your jurisdiction.

If you use the Services on behalf of someone else, you confirm that you have authority to accept these Terms on their behalf.

3. Description of the Services

Cortex Lantern provides tools including, but not limited to:

• A focus timer with preset durations (for example, 15, 25, 45, 90 minutes)
• Five cognitive modes (Focus, Learn, Create, Connect, Solve)
• Progress tracking (streaks, total minutes, daily goals)
• Optional features such as teams, insights, and visual cortex maps

We may add, modify or remove features over time.

4. No medical or mental health advice

Cortex Lantern is a productivity and personal development tool, not a health or medical service.

• We do not provide medical, psychological, or mental health advice, diagnosis or treatment.
• The Services are not a substitute for professional medical or mental health care.
• If you have concerns about your mental or physical health, please consult a qualified professional.

By using the Services, you agree that you do so at your own discretion and responsibility.

5. Subscriptions and In-App Purchases

Cortex Lantern Pro is offered as a paid subscription ("Subscription") that unlocks additional features in the app. Subscription pricing, durations (for example monthly or yearly) and any free trial offers are shown clearly in the app and on the App Store listing at the time of purchase.

All payments are handled by Apple through your Apple ID account. We do not collect or store your full payment details. The purchase, billing and cancellation of your Subscription are governed by Apple's terms and conditions and App Store policies.

Your Subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the current period ends. Renewal charges will be applied to your Apple ID account at the then-current price. You can manage or cancel your Subscription at any time in your device Settings → [your name] → Subscriptions.

If a free trial is offered, it will convert to a paid Subscription at the end of the trial period unless you cancel at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited when you purchase a Subscription, where applicable.

We may change our Subscription plans and pricing from time to time. Any price changes will apply to your next billing period and, where required, we will notify you in advance so you can decide whether to continue your Subscription.

Refunds for Subscriptions are handled by Apple in line with their policies. We are not able to process refunds directly.

6. Your responsibilities

You agree to:

• Use the Services only for lawful purposes
• Not misuse the Services (for example, by attempting to hack, reverse engineer or overload them)
• Respect other users and not use the Services to harass, abuse or harm anyone
• Comply with all applicable laws and regulations

You are responsible for:

• Any device or data charges incurred by using the Services
• Keeping your device and any local data secure
• Any information you choose to share about your use of Cortex Lantern

7. User accounts

In Cortex Lantern V1, you can use the app in guest mode without creating a full account.

If we add accounts or sign-in features in the future:

• You will be responsible for keeping your login details secure.
• You must not share your account with others.
• You must notify us promptly if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that violate these Terms.

8. Intellectual property

All intellectual property in the Services, including but not limited to:

• App design, logos, branding and animations
• Text, graphics, illustrations and user interface
• Underlying software and technology

is owned by us or our licensors and is protected by copyright, trademark and other laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Services for your personal, non-commercial use, subject to these Terms.

You may not, without our prior written permission:

• Copy, modify, distribute, sell or lease any part of the Services
• Reverse engineer or attempt to extract the source code
• Use our trademarks, branding or logos in a way that suggests endorsement

9. Acceptable use

You agree that you will not:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Services or their systems
• Introduce malware, viruses, or other harmful code
• Use automated means (bots, scripts) to access or interact with the Services in an abusive way
• Interfere with or disrupt the operation of the Services or networks connected to them

We may monitor use of the Services to ensure compliance with these Terms.

You must not use the Services in situations where a loss of attention could result in injury (for example, while driving or operating heavy machinery).

10. Third-party services

The Services may link to or integrate with third-party services, such as:

• App stores (Apple App Store, Google Play Store)
• Analytics or crash reporting tools
• External help documentation or support platforms

We are not responsible for the content, policies or practices of third-party services. Your use of those services is subject to their own terms and privacy policies.

When you access Cortex Lantern through a third-party app store or platform (such as the Apple App Store), you must also comply with that platform's terms and conditions, including any usage rules that apply to downloaded applications.

11. Termination and suspension

We may suspend or terminate your access to the Services, in whole or in part, if:

• You materially or repeatedly breach these Terms
• We are required to do so by law
• We decide to discontinue or significantly change the Services

You may stop using the Services at any time by uninstalling the app and/or ceasing to visit the website.

Even after termination, certain sections of these Terms will continue to apply, including those relating to intellectual property, disclaimers, limitations of liability and dispute resolution.

12. Disclaimer of warranties

Your use of the Services is at your sole risk. The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we and our affiliates and licensors disclaim all warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or free of harmful components, or that any defects will be corrected.

13. Limitation of liability

To the maximum extent permitted by law:

• We will not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or in connection with your use of the Services.
• Our total liability to you for any claims arising out of or relating to the Services will be limited to the amount you have paid us (if any) in the 12 months prior to the event giving rise to the claim, or, if you have not paid us, to a reasonable amount reflecting the non-paid nature of the Services.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, for fraud, or for death or personal injury caused by negligence).

14. Indemnity

You agree to indemnify, defend, and hold harmless The UGC Playbook LTD, its affiliates, and their respective directors, officers, employees and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services in breach of these Terms; (b) any content you submit or transmit through the Services; or (c) your violation of any law or the rights of any third party.

15. Changes to the Services

We may modify, suspend or discontinue some or all of the Services at any time, including by:

• Adding or removing features
• Updating the user interface
• Changing technical requirements

Where changes are significant, we will make reasonable efforts to notify you, for example in the app or on our website.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top and may notify you within the app.

If you continue to use the Services after changes take effect, you are deemed to have accepted the updated Terms.

17. Additional terms for iOS App Store users

If you access or download the App from the Apple App Store:

1. These Terms are concluded between you and The UGC Playbook LTD only, not with Apple. Apple is not responsible for the App or its content.
2. The license granted to you under these Terms is a non-transferable license to use the App on any Apple-branded device that you own or control and as permitted by the usage rules in the Apple Media Services Terms and Conditions.
3. You and we acknowledge that Apple has no obligation to provide any maintenance or support services for the App.
4. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to a warranty will be our responsibility.
5. We, not Apple, are responsible for addressing any claims you or any third party may have relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
6. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, we, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such intellectual property infringement claim.
7. Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

18. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles.

You agree that the courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or the Services, except where applicable law gives you the right to bring claims in your local courts.
